Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who wish to access or use the Service.
By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you do not have permission to access the Service.
PAID ACCOUNTS
Fees. cleverlink offers fee-based cleverlink Services that provide additional features and functionality. Pricing and services for paid accounts are described on cleverlink’s Services pricing page and may be updated from time to time. If you sign up for a paid account, you agree to pay cleverlink all applicable fees for the tier of cleverlink Services according to your selection. All payments of Subscription fees are non-refundable.We reserve the right to change prices for Subscriptions at any time, and do not provide price protection or refunds in the event of promotions or price decreases.
Subscriptions
Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.
At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or cleverlink cancels it. You may cancel your Subscription renewal through your online account management page.
A valid payment method, including credit card, is required to process the payment for your Subscription. You shall provide cleverlink with accurate and complete billing information including full name, address, state, zip code, telephone number, and a valid payment method information. By submitting such payment information, you automatically authorize cleverlink to charge all Subscription fees incurred through your account to any such payment instruments.
cleverlink may suspend or terminate the Services if Fees are past due. Unpaid Fees are subject to a finance charge of (2.5%) per month (30% per annum), or the maximum permitted by law, whichever is lower, plus all expenses of collection, including reasonable attorneys’ fees.
Accounts
When you create an account with us, you guarantee that you are above the age of 18, and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on the Service.
You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password, whether your password is with our Service or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
Downgrades. cleverlink reserves the right to downgrade, suspend or terminate Customer’s access to any or all cleverlink Services if Fees are past due.
If you downgrade or cancel your subscription, you will enjoy the benefits of your current subscription until the expiration of the current subscription period for which you have paid,
and Your subscription benefits will downgrade or expire at the end of the current subscription period.
Links To third party web sites
Our Service may contain links to third party web sites or services that are not owned or controlled by cleverlink.
cleverlink has no control over, and assumes no responsibility for the content, privacy policies, or practices of any third party web sites or services. We do not warrant the offerings of any of these entities/individuals or their websites.
You acknowledge and agree that cleverlink shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such third party web sites or services.
We strongly advise you to read the terms and conditions and privacy policies of any third party web sites or services that you visit.
Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
Customer Services. cleverlink shall have no liability for any Customer product or service accessed through or making use of the cleverlink Services or any end user, customer or Personnel’s use thereof (“Customer Service”). Customer shall not use the cleverlink Services in any manner implying any partnership with, sponsorship by, or endorsement of the Customer Service by cleverlink. Customer shall not suggest or imply that cleverlink is the author of or otherwise responsible for the views or content of the Customer Service. The cleverlink Services shall not be used in connection with any Prohibited Content, or any activities where the use or failure of the cleverlink Services could lead to death, personal injury or property or environmental damage or adversely impact or impose liability on cleverlink in any manner.
Disclaimer
Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.
cleverlink its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.
cleverlink MAKES NO REPRESENTATIONS OR WARRANTIES AND SHALL ASSUME NO LIABILITY AMOUNTS OR INDEMNITY OBLIGATIONS WITH RESPECT TO ENSURING THAT CUSTOMER’S USE OF THE cleverlink SERVICES AND cleverlink METRICS COMPLY WITH ANY LAWS OR REGULATIONS OUTSIDE THE UNITED STATES AND CUSTOMER SHALL BE SOLELY LIABLE FOR SUCH COMPLIANCE. cleverlink SHALL BEAR NO RESPONSIBILITY FOR THIRD PARTY PRODUCTS OR SERVICES (E.G., OPEN SOURCE SOFTWARE, SOCIAL MEDIA PLATFORMS, THIRD PARTY MATERIALS OR FOR HOST OR APP STORE PROVIDERS). CUSTOMER RECOGNIZES THAT THE FIGURES CONTAINED IN THE cleverlink LINK METRICS PRODUCED HEREUNDER ARE ESTIMATES AND MAY BE SUBJECT TO STATISTICAL ERROR. cleverlink DOES NOT WARRANT THAT THE cleverlink LINK METRICS WILL BE COMPLETELY CORRECT, ACCURATE, TIMELY OR OTHERWISE RELIABLE. cleverlink HEREBY DISCLAIMS ANY LIABILITY FOR ANY USE OR RELIANCE ON THE cleverlink LINK METRICS BY CUSTOMER AND THIRD PARTIES.
Indemnification
You agree to defend, indemnify and hold harmless cleverlink and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password, or b) a breach of these Terms.
Limitation Of Liability
In no event shall cleverlink, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
Price Change
cleverlink reserves the right to change prices, the monthly payment amount, or any other charges at any time. We will provide you with at least thirty (15) days' notice before charging you with any price change. It is your sole responsibility to periodically review billing information provided by cleverlink through the user billing tool or through other methods of communication, including notices sent or posted by cleverlink.
Arbitration
By using the Services, you hereby submit to the Dresden-Germany court in connection with any dispute relating to, concerning or arising out of this Agreement. Payment of all filing, administrative and arbitrator fees will be governed by the Dresden-Germany rules, unless otherwise stated in this paragraph. The arbitration before the Dresden court shall proceed solely on an individual basis without the right for any claims to be arbitrated on a class action basis or on bases involving claims brought in a purported representative capacity on behalf of others. The Germany low Act governs all arbitration under this paragraph. All decisions rendered by the arbitrator will be binding and final. The arbitrator's award is final and binding on all parties. The arbitrator's authority to resolve and make written awards is limited to claims between you and cleverlink alone. Claims may not be joined or consolidated unless agreed to in writing by all parties. No arbitration award or decision will have any preclusive effect as to issues or claims in any dispute with anyone who is not a named party to the arbitration. If you initiate litigation or any other proceeding against cleverlink in violation of this paragraph, you agree to pay cleverlink's reasonable costs and attorneys' fees incurred in connection with our enforcement of this paragraph.
General
These Terms are subject to occasional revision, cleverlink may modify, add, or delete portions of this Agreement at any time without notice.You agree to any modification to this Agreement by continuing to use the Services after the effective date of any such modification.
cleverlink reserves the right to modify, change or discontinue any aspect of the Services at any time.
